TERMS OF SERVICE

These Terms of Service ("Terms") form a legally binding agreement between you and Editing Machine LLC, a limited liability company organized under the laws of the State of Delaware, United States ("Editing Machine", "Company", "we", "our", or "us").

These Terms govern your access to and use of editingmachine.com, including any related applications, software, tools, services, and content (collectively, the "Platform").

By accessing or using the Platform, purchasing credits, or subscribing to any services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Platform.

1. Platform Overview

Editing Machine provides a cloud-based platform that enables users to upload media, organize content, and generate edited video and media outputs through a combination of human-assisted workflows, automation tools, and artificial intelligence technologies.

The Platform may include features such as:

• content uploads and storage
• automated media analysis
• editing and processing workflows
• credit-based production requests
• platform dashboards and analytics
• integrations and automation tools

Editing Machine reserves the right to modify, update, or discontinue any part of the Platform at any time.

2. Eligibility

You must be at least 18 years old to use the Platform.

By using the Platform, you represent and warrant that:

• you have the legal capacity to enter into this agreement
• your use of the Platform does not violate any applicable laws
• any information you provide is accurate and truthful

3. Accounts

To access certain features of the Platform, you may be required to create an account.

You agree to:

• provide accurate account information
• maintain the security of your login credentials
• accept responsibility for all activities under your account

You must immediately notify us if you become aware of any unauthorized access to your account.

Editing Machine is not responsible for losses caused by unauthorized use of your account.

4. Payments and Credits

The Platform operates on a credit-based system.

Users may purchase subscriptions, credit packages, or other usage-based services that provide credits for use within the Platform.

Credits may be used to access editing services, media processing, or other platform functionality.

By completing a purchase, you acknowledge and agree that:

• digital services begin immediately after payment is processed
• credits may be consumed through platform usage, automated processing, or system activity
• credits represent a platform usage license and have no cash value
• credits are non-transferable and non-refundable, except where required by law
• credits do not expire but platform access may be limited based on the subscription plan or credit package purchased; accounts inactive for 24 months may be closed and remaining credits forfeited

Because digital services are delivered immediately upon purchase, all payments are final.

Editing Machine reserves the right to change pricing, credit structures, subscription plans, or usage limits at any time.

5. Payment Disputes and Chargebacks

If you believe a charge was made in error, you agree to contact Editing Machine support to attempt resolution before initiating a payment dispute or chargeback with your bank or payment provider.

In the event of a payment dispute or chargeback, Editing Machine reserves the right to provide evidence of account activity to the payment processor or issuing bank, including but not limited to:

• purchase records
• IP address and device information
• account login history
• platform usage logs
• credit consumption records
• uploaded content activity
• generated or downloaded output files

Initiating a chargeback or payment dispute may result in immediate suspension or termination of the associated account, including forfeiture of any remaining credits.

Editing Machine reserves the right to recover unpaid balances or fees associated with fraudulent or abusive chargebacks where permitted by law.

6. User Content

Users may upload media files, footage, images, audio, and other materials ("User Content") to the Platform.

You represent and warrant that:

• you own or have the necessary rights to upload and use the content
• your content does not infringe the rights of any third party
• your content does not violate applicable laws

Editing Machine does not review all uploaded content and is not responsible for User Content.

You grant Editing Machine a limited license to process, analyze, store, and transform your content for the purpose of operating the Platform.

7. Prohibited Content

Users may not upload, submit, or process any content that includes:

• illegal material
• child exploitation or abuse content
• non-consensual sexual content
• hate speech or violent extremism
• malware or malicious software
• content that violates copyright or intellectual property rights

Editing Machine reserves the right to remove any content and suspend accounts immediately if such content is detected.

8. Platform Outputs

Users retain ownership of the final output files generated using their content once all applicable fees have been paid.

Editing Machine retains ownership of:

• the Platform
• the software
• editing methodologies
• automation systems
• AI models and processing tools

Users receive a non-exclusive license to use output files for lawful personal or commercial purposes.

9. AI and Automated Processing

The Platform may use automated technologies and artificial intelligence systems to analyze, process, and generate media content.

Outputs generated through automated systems may contain errors or inaccuracies.

Editing Machine makes no guarantees regarding the accuracy, quality, or suitability of automated outputs.

Users are responsible for reviewing all generated content before publishing or distributing it.

10. Platform Availability

The Platform is provided on an "as available" and "as is" basis.

Editing Machine does not guarantee that the Platform will be:

• uninterrupted
• error-free
• free from delays or technical issues

Scheduled maintenance, updates, or system failures may temporarily limit access to the Platform.

11. Acceptable Use

You agree not to use the Platform for:

• illegal activities
• uploading copyrighted material without authorization
• distributing malware or harmful code
• harassing or abusing other users
• attempting to reverse engineer the Platform
• interfering with the operation or security of the Platform

Editing Machine reserves the right to suspend or terminate accounts that violate these rules.

12. Confidentiality

Editing Machine will treat user content and communications as confidential and will not intentionally disclose confidential materials except as required to operate the Platform or comply with legal obligations.

13. Intellectual Property

All Platform software, systems, features, and technology are the exclusive property of Editing Machine LLC.

Users may not:

• copy or reproduce the Platform
• reverse engineer any part of the system
• create derivative software based on the Platform
• attempt to access underlying source code

14. Portfolio Use

Editing Machine may showcase completed work created through the Platform for promotional or portfolio purposes unless the user requests otherwise in writing.

15. Limitation of Liability

To the fullest extent permitted by law, Editing Machine shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to:

• loss of profits
• loss of business
• loss of data
• business interruption

Editing Machine's total liability for any claim related to the Platform shall not exceed the total amount paid by the user to Editing Machine during the twelve (12) months preceding the claim.

16. Indemnification

You agree to indemnify and hold harmless Editing Machine LLC and its officers, employees, contractors, and affiliates from any claims, damages, liabilities, or expenses arising from:

• your use of the Platform
• your uploaded content
• your violation of these Terms

17. Termination

Editing Machine reserves the right to suspend or terminate access to the Platform at any time if a user violates these Terms.

Users may stop using the Platform at any time.

Termination does not affect any outstanding payment obligations.

18. Modifications to Terms

Editing Machine may update these Terms from time to time.

Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
